REFERRAL PROGRAM TERMS AND CONDITIONS

PLEASE READ THE FOLLOWING CUSTOMER REFERRAL PROGRAM TERMS

AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN THE CUSTOMER

REFERRAL PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR

ACCEPTANCES OF ALL THE PROGRAM TERMS AND CONDITIONS.

We are excited that you are choosing to participate in the Skylight Frame (“Skylight”)

customer referral program. Your participation in and use of the program is strictly subject to the

program terms and Skylight terms. If you have any questions please feel free to contact us at any

time.

Participant Acceptance and Termination

We can and will make all determinations regarding participation in the program. We

reserve the right to terminate your participation in the program at any time for any reason or no

reason, to the extent permitted by law, upon written notice to you. Any written notices required

or permitted to be given by Skylight hereunder may be delivered by email. By participating in

the program, you consent to delivery of all program-related notices and information by email to

the email address you have registered with and acknowledge that you have the necessary

equipment (hardware and software) to receive such emails.

Qualified Referrals and Payment

Qualified referrals must make a purchase via the link shared with such person in the

referral email invitation generated by Skylight’s referral program. Eligible participants are

defined as (a) the “new customer” and (b) the person who referred the new customer. To be

"Eligible," a Referrer must:

1. Be a legal resident of the United States of America

2. Not previously have been terminated from the Program.

Referrers must respect the spirit of the referral program by only referring real individuals

who meet the requirements of these Terms and Conditions. Referrers cannot refer themselves.

For example, you may not create multiple or fake accounts with Skylight or participate in the

referral program using multiple or fake email addresses or identities. Any such activity will not

result in any rewards to the referrer or the prospective new customer. Such actions will result in

Referrer’s removal from the program.

1. If a Referrer provides a Personal Link to www.skylightframe.com to a Friend by

email, the email must be created and distributed in a personal manner that is

appropriate and customary for communications with friends, colleagues and family

members.

2. Bulk referrals, distribution to strangers, or any other promotion of a Program in a

manner that would constitute or appear to constitute unsolicited commercial email or

"spam" in Skylight’s sole discretion is expressly prohibited and may be grounds for

immediate termination of the Referrer's participation in the Program. Skylight has a

no-tolerance spam policy.

3. Skylight has no obligation to monitor the content provided by Referrers; however,

Skylight may choose to do so and block any email messages, remove any such

content, or prohibit any use of the Program.

4. While Skylight is the actual sender of the referral email, each Referrer must

nonetheless comply with applicable law. Referrers who do not comply with the law,

including antispam laws, are obligated to indemnify Skylight and all of the Released

Parties against any liabilities, costs and expenses incurred as a results of such

violation.

New customers will be entitled to receive a discount on their purchase of the Skylight

product(s) as featured on the “Refer a Friend” page at https://www.skylightframe.com/pages/

refer-a-friend/. The person who referred the new customer shall receive a PayPal payment for

each qualified referral.

1. A “Qualified Referral” means that all the following conditions are met:

2. The Friend had not previously made a purchase with www.skylightframe.com under

any email address or alias;

3. The Friend is a) a legal resident of the United States of America and b) at least 18 years

old; and

4. Only one Qualified Referral can be earned for each Friend, up to a maximum of ten

(10) Friends per calendar year, unless otherwise allowed by Skylight. Any additional or

subsequent purchases made by a Friend will not be considered Qualified Referrals and thus

not be entitled to the benefits of Qualified Referrals.

The amount of such gift card or discount code will be determined based upon the current

offer stated on the “Refer a Friend” page at https://www.skylightframe.com/pages/refer-a-friend/

at the time of the applicable qualified person’s purchase. The prepaid gift card or discount

amount offered may be changed at any time prior to the purchase made by a qualified referral

without notice to you or your referrals. The “Refer a Friend” page at https://

www.skylightframe.com/pages/refer-a-friend/ will contain up-to-date information regarding then

current offered gift card or discount amount. Such gift card or discount code will be applied as

soon as the qualified referral has met all requirements. By participating in the program, you

agree that Skylight shall make the final determination as to whether any referral meets all

requirements to be considered a qualified referral. From time to time, there may be limited-time

promotions which provide for increased incentive payments. They are subject to change withoutnotice to you by updating the information on the “Refer a Friend” page at https://

www.skylightframe.com/pages/refer-a-friend/. We are not obligated to, and will not release toyou the reasons why a particular referral has not been deemed a qualified referral. Skylight may

delay a Reward for the purposes of investigation. We may also refuse to verify and process any

transaction we deem, in its sole discretion, to be fraudulent, suspicious, in violation of these

Terms and Conditions, or believes will impose potential liability on Skylight, its subsidiaries,

affiliates or any of their respective officers, directors, employees, representatives and agents. All

of Skylight’s decisions are final and binding, including decisions as to whether a Qualified

Referral, or Reward is verified.

CAN-SPAM Act Compliance

Skylight complies with the federal CAN-SPAM Act and honors requests of consumers and

customers who choose to opt out of receiving marketing emails. Accordingly, if you designate a

referral email address that has previously opted out of receiving our marketing emails, that email

address will not be sent an email. Skylight is not required to notify you if an email is not sent.

GDPR Compliance

By submitting the form on “Refer a Friend” page at https://www.skylightframe.com/pages/refer-

a-friend/, you (1) certify that you and your contact both live in the United States and are not

subject to European Union privacy laws (2) give Skylight permission to retain your name and

email address for the purpose of any subsequent reward fulfillment. Submitting the above form

does not subscribe you to marketing emails from Skylight. In the spirit of transparency and

privacy, Skylight will use information collected through this form in the following way: If the

prospect makes a purchase via the link generated by the referral program, Skylight will also

continue to retain the associated referrer name and associated referrer email for the purpose of

fulfilling any subsequent reward for the referrer. This information may be visible to any member

of Skylight staff. Other information submitted through this form will be covered under Skylight

general website privacy policy and terms of service.

Confidentiality

In connection with your participation in the program, you may receive confidential and

proprietary information belonging to Skylight, including sensitive customer data

(“Information”). You will maintain all of such information in strict confidence and use the

Information only in connection with your participation in the program. Notwithstanding anything

to the contrary contained herein, you agree that you will comply with the customer

confidentiality provisions.

Independent Contractor Relationship

Your participation in the program does not authorize you to act on our business’s, its

parent’s or their respective affiliates’ behalf. Nothing herein is intended or will be construed to

constitute or imply a joint venture, employer-employee relationship, partnership or association

between you and Skylight, its parent or their respective affiliates. By participating in the

program, you acknowledge that you do so at your own risk and as an independent contractor and

that Skylight is not directing how you perform your obligations hereunder.

Trademarks

Other than with respect to materials provided to in connection with your participation in

the program, your status as a participant in the program does not entitle you to use any

trademarks, copyrighted materials, patents, names, logos or other intellectual property owned or

licensed by Skylight or its respective affiliates.

Indemnification

By participating in the program, you agree to and will indemnify and hold Skylight and

its affiliates harmless from and against any and all damages, costs, expenses, claims or liabilities

of any kind, including third party claims, whether pending or threatened, including without

limitation, attorneys’ fees and court costs, incurred by any of them arising out of or related to

your participation in the program or breach of these Program Terms.

Warranty Disclaimers; Limitation of Liability

YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE REFERRAL

PROGRAM IS AT YOUR OWN RISK. THE PROGRAM IS MADE AVAILABLE TO YOU ON

AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

NEITHER SKYLIGHT NOR ANY OF ITS AFFILIATES, THROUGH THESE PROGRAM

TERMS, MAKES ANY WARRANTY REGARDING THE PROGRAM, AND EACH

EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING

WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A

PARTICULAR PURPOSE. IN NO EVENT SHALL SKYLIGHT OR ANY OF ITS

RESPECTIVE AFFILIATES BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL

OR INCIDENTAL DAMAGES OR DAMAGES FOR LOSS OF PROFITS, REVENUE, USE,

OR DATA AS A RESULT OF CLAIMS, WHETHER BROUGHT IN CONTRACT OR TORT,

ARISING OUT OF OR CONNECTED WITH THESE PROGRAM TERMS OR THE

PROGRAM, EVEN IF CLIENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH

DAMAGES.

Amendments

These Program Terms may be altered, changed, modified or assigned by Skylight at any

time by providing notice to you. Your participation in the program at any time after our business

provides you such notice of changes will constitute your agreement to such changes.

Other Terms and Conditions

These Program Terms are in addition to and do not in any way limit or alter Skylight’

other terms and conditions or agreements pursuant to which our business allows you to

participate in the program.

Acceptance and Jurisdiction

By participating in the program, you agree that you have read, understand and will abide,

and be bound, by these Program Terms. These Program Terms shall be governed in all respects in

accordance with the laws of the State of California without regard to the conflict or choice of law

rules thereof. Any dispute regarding the referral program shall be governed by the dispute

resolution provisions of Skylight’s general website terms of service.

FTC 16 CFR Part 255 Compliance

Skylight complies with the Federal Trade Commission’s 16 CFR Part 255 “Guides

Concerning the Use of Endorsements and Testimonials in Advertising”. Accordingly, if you

make any post on any social network (such as Facebook, Twitter, Instagram, Pinterest, or

LinkedIn) as a part of this program, you must at a minimum include either “This is a paid

endorsement” or “#paidad” in any social network posts you make as a part of this program. You

are responsible for ensuring that your posts on any social network comply with the terms of use

of the site, and any other applicable laws, statutes, and regulations.
